1. About these terms
1.1 Who they apply to. These Organizer Terms apply whenever you act as an Organizer: you create, list or run an Event on the Services, sell Registrations or Event add-ons, or run a circuit, convention or store page. They add to the Terms of Service, the Privacy Policy and the Community Guidelines, and control if they conflict with the Terms of Service on a matter within their scope. Capitalized terms not defined here have the meaning in the Terms of Service.
1.2 Publishers. A Publisher that runs Events or sells anything through the Services is an Organizer. The addendum at the end adds terms for Publishers.
1.3 Staff. If an Organizer gives you a Staff role, you act for that Organizer and must follow §8 and §9. The Organizer is responsible for what you do with the role.
1.4 Acceptance. You agree to these terms by creating an Event, connecting a Payment Processor, or otherwise using the Organizer features. If you accept for a business, you confirm that you're authorized to bind it, and "you" means that business.
2. Eligibility and your details
2.1 To sell anything through the Services, you must be at least 18 (or the age of majority where you live), able to enter a binding contract, and accepted by a Payment Processor. Organizers under 18 may run free Events only with a parent's or guardian's permission.
2.2 Keep your Account, business and Payment Processor details accurate and current, and give Players a working way to contact you about your Events.
2.3 Don't say or suggest that a Publisher sanctions or endorses your Event unless it does.
3. Payments
3.1 Stripe. You connect Stripe through Stripe's onboarding, which creates a Stripe connected account in your name. Charges for your sales are made on that account.
Payment processing services for Organizers on TopDeck.gg are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Organizer Terms or continuing to operate as an Organizer on TopDeck.gg, you agree to be bound by the Stripe Services Agreement, as the same might be modified by Stripe from time to time. As a condition of TopDeck.gg enabling payment processing services through Stripe, you agree to provide TopDeck.gg accurate and complete information about you and your business, and you authorize TopDeck.gg to share it and transaction information related to your use of the payment processing services provided by Stripe.
When you provide personal data in connection with TopDeck.gg, Stripe receives that personal data and processes it in accordance with Stripe's Privacy Policy.
3.2 PayPal. PayPal provides its services to you under its own agreements with you, including its User Agreement and Acceptable Use Policy; TopDeck is not a party to them. You are the payee for your PayPal sales, and PayPal collects TopDeck's Service Fee from each payment for TopDeck. PayPal may show "TopDeck.gg" at checkout and on statements, but you remain the seller.
3.3 What you authorize. You authorize TopDeck to instruct your Payment Processor, on your behalf, to process payments, card holds and refunds for your sales and to collect the Service Fee. You also authorize your Payment Processor to share your account status and transaction information with TopDeck.
3.4 TopDeck never holds your funds. Payments for your sales go to your Payment Processor account, which pays you out under its own terms. TopDeck doesn't receive, hold or transfer your sale proceeds and can't release or reverse a payout. Your Payment Processor's terms govern your payments and account, including holds, reserves and closures. If it restricts your account or won't support your Events, paid Registration may stop, and you stay responsible for sales already made.
3.5 Chargebacks, negative balances and recovery. You're responsible for every refund, chargeback, dispute fee, reversal, fine and negative balance on your Payment Processor account, including after you stop using the Services. If a Payment Processor charges TopDeck or holds it responsible for any of these, or you owe TopDeck a fee, you must pay us on request. You authorize us to recover it by debiting your Stripe connected account where Stripe allows, or by any other lawful method, and we may turn off paid Registration for your Events until you've paid.
4. You are the seller
4.1 Merchant of record. For paid Registrations, Event catalog add-ons, on-demand event queue holds and Publisher kits, you (or the Publisher) are the seller and merchant of record, and the contract is between you and the Player. TopDeck is not a party to that sale: it provides the software and collects its Service Fee. You're responsible for delivering what you sold and for refunds, chargebacks and disputes on your sales.
4.2 Prices. You set prices, entry options, add-ons, capacity and discount codes. Payments taken at the venue are between you and the Player.
4.3 Taxes. You're responsible for working out, collecting, reporting and paying any taxes on your sales (such as sales tax, VAT, GST or admissions tax), and for any tax forms. TopDeck doesn't calculate or collect taxes on your sales.
4.4 Legality, permits and venues. You're responsible for making sure your Event is lawful where it takes place, and for:
- permits, licenses and insurance;
- venue capacity and fire and safety rules, including for any Players you or your Staff register beyond the capacity you set;
- accessibility and age requirements; and
- the rules of any game publisher whose game you run, including its sanctioning requirements.
4.5 Consumer-law information. Before Players pay, give them any information consumer law requires of you, such as your identity, the total price and your refund terms (in Japan, for example, a disclosure under the Specified Commercial Transactions Act).
5. Fees
5.1 Service Fee. TopDeck charges a Service Fee on Registrations and Event catalog orders paid online through the Services. The default rate is 5% of the order total after discounts, and we may set or agree a different rate for your Account, including 0%. The rate locks when the order is placed. We'll give you reasonable notice before raising the default rate or your rate.
5.2 Who pays it. By default the Player pays the Service Fee on top of your price. You can choose, Event by Event, to absorb it, and the Service Fee then comes out of your payout.
5.3 Refunds and the Service Fee. Refunds are paid from your Payment Processor account. A full refund through the Services returns everything the Player paid, including the Service Fee. TopDeck normally returns its fee for that refund; where it isn't returned, the full amount comes from your account. Refund online payments through the Services: a refund made elsewhere, such as in your Payment Processor's dashboard, doesn't update the Registration on TopDeck, and TopDeck has no obligation to return its fee for it.
5.4 Other fees and price display. Payment Processor fees are your cost, set and deducted by your Payment Processor. When you advertise prices outside the Services, follow the price-display laws that apply to you.
6. Refunds, cancellations and disputes
6.1 Your refund policy. For each paid Event you must set a refund policy that complies with the law, tell Players what it is before they pay, and honor it.
6.2 Player refunds. Players can drop for an automatic refund through the Services only before the refund deadline you set in the Event's settings and before the Event starts. Otherwise, refunds are your decision under your policy. If you turn off payment processing for an Event or disconnect your Payment Processor account, you must handle refunds yourself.
6.3 Cancelling an Event. If you cancel an Event before it starts, Registrations paid online through the Services are refunded automatically from your Payment Processor account, including the Service Fee, so keep enough balance there. You must refund venue payments yourself and remain responsible for making sure every Player is refunded. If an Event can't go ahead after it starts, or you materially change its date, venue or format, handle refunds under your policy and the law.
6.4 Chargebacks and disputes. Chargebacks and payment disputes on your sales are between the buyer, you and your Payment Processor. You bear them, including dispute fees and lost amounts (§3.5), and TopDeck has no obligation to return its Service Fee on a disputed payment. You may ban a Player who files a chargeback instead of asking you for a refund (§8.4).
7. Prizes
7.1 TopDeck never holds or pays prizes. Prize support and prize payouts are between you and your Players, and the Publisher where its program supplies the prizes.
7.2 You're responsible for running your Event lawfully where it's held, for following your Payment Processor's rules, and for describing any prize support accurately.
7.3 We may turn off paid Registration for an Event if a Payment Processor requires it.
8. Running your Event
8.1 Listings. Describe your Event accurately, including its date, time, location (or that it's online), format, price, capacity, prizes and any requirements. Run it as described, and update the listing promptly if anything changes.
8.2 Event Records. Pairings, results, standings and, once you show them or the Event ends, decklists become part of the public Event Record. A finalized Event's Record stays on the Services as a competitive record, even if you later close your Account. You can correct errors.
8.3 Staff. You decide who gets which Staff role. Every role, including Viewer, can see the Event's full Registration records, including Players' contact details, and can receive the Event's data through the API and webhooks (Developer Terms). Higher roles can do more, such as refunding orders, seeing revenue, exporting orders and cancelling the Event. Circuit and convention roles cover every Event in that circuit or convention, including yours if it's part of someone else's. Give each person the lowest role that works, and remember you're responsible for what your Staff do.
8.4 Bans and penalties. A ban you set covers all of your Account's Events. Penalties, game losses and disqualifications are your decisions under your event rules and the game's rules. Don't use bans or penalties to harass anyone, to retaliate for a good-faith complaint, or for unlawful reasons such as discrimination. TopDeck doesn't decide your rulings, but it may reverse a ban or limit your tools if you misuse them.
8.5 Players without Accounts, and minors. Staff can enter Players who don't have an Account. You must have the person's permission to enter their details, or a parent's or guardian's for a minor where the law requires it. Tell them their name and results will appear in the public Event Record, and give them your own privacy notice. If you add someone by email who has no Account, we email them an invitation to sign up.
8.6 Details you require. Require details at registration, such as a linked Discord account or a game platform ID, only when your Event needs them.
8.7 Messages to Players. Use the Services' messaging tools only for messages about your Event.
8.8 Staff labels and notes. Use private Staff labels and notes only to run the Event. Don't record health or other sensitive information in them unless the Player asks you to and it's needed to accommodate them.
9. Player data
9.1 Your role. "Event Data" means the personal data you obtain about Players for your Events through the Services, such as through Staff tools, exports, the API, webhooks and your community list. You are an independent controller (or the equivalent under local law) of Event Data and responsible for how you use it. TopDeck is a separate, independent controller of that data within the Services. Neither of us processes it on the other's behalf.
9.2 What you can see. Event Data can include Players' names, contact details, decklists, penalties, payment references, refund status, event history and approximate location. Your community list covers everyone who has played in your Events.
9.3 Permitted uses. You may use Event Data only to:
- run your Events and communicate with Players about them;
- handle payments, refunds and disputes;
- keep your Events safe and fair, including bans;
- report results to an Organized Play Program or sanctioning body your Event belongs to; and
- meet your legal obligations.
Where the law requires it, give Players your own privacy notice.
9.4 Marketing. You may send a Player marketing only with that Player's consent, and registering for your Event is not consent. Every marketing message must include an easy way to unsubscribe, and you must honor it promptly.
9.5 What you must not do. Don't sell or rent Event Data, share it for others' marketing, use it to track or harass anyone, or combine it with other data to identify Players who chose not to share details.
9.6 Security. Protect Event Data with appropriate security. You're responsible for exports once downloaded (store them securely, limit access and delete them when no longer needed); for the webhook endpoints and API integrations you or your Staff set up, which receive Event Data (Developer Terms §4.2), and anyone who runs them, including vendors you add as Staff; and for keeping API keys, webhook secrets and other credentials secret. If Event Data you got from the Services is accessed without authorization, tell us at [email protected] without undue delay, and make any notifications the law requires of you.
9.7 Players' requests. You must honor Players' privacy requests (such as access, correction, deletion, objection and unsubscribe) for Event Data you hold outside the Services, such as exports, your own systems and webhook data. Forward requests about data inside the Services to [email protected]. When a Player deletes their Account, update the copies you hold where the law requires it.
9.8 Integrations you use. If you use an integration that sends Event Data to a third party, such as an EventLink export or a Discord server connected to your Event, you direct that transfer and are responsible for its lawful basis, for who can see the data there, and for following the third party's terms.
9.9 Publisher access to your Events. If your Event is for a game whose Publisher runs an Organized Play Program on the Services, that Publisher has Admin-level access to your Event, including its Registration records and Admin tools such as refunds and cancellation, which act on your Payment Processor account. It may also receive Event Data for its game in its own systems.
9.10 Our right to act. We may, but don't have to, act on your Event at our discretion, including to deal with fraud, a breach of these terms, a safety risk or a legal requirement, or when you ask, for example by pausing registration, removing a listing or issuing refunds from your account where your Payment Processor allows it.
9.11 Transfers from the EEA and UK. If you're in a country without an EU or UK adequacy decision and receive Event Data about Players in the EEA or UK, the EU Standard Contractual Clauses (Module 1, controller to controller) and the UK Addendum are incorporated into these terms by reference, with you as data importer and TopDeck as data exporter, and control if they conflict with these terms.
10. Content and licenses
10.1 Event content. Your Event names, descriptions, images and logos, and your store page content, are Your Content under the Terms of Service, and you keep ownership. You grant TopDeck a worldwide, non-exclusive, royalty-free license to host, reproduce, adapt (for example, resize or translate), display and distribute that content to run and promote the Services and your Events, in any medium, including for past Events and Event Records. You confirm you have the rights to everything you upload, including game artwork and trademarks.
10.2 Image checks. We may screen uploaded images and block them (Terms §14). Don't link or embed external content that breaks our rules.
10.3 Store pages. Your store page is public, including any contact details you put on it. You're responsible for what it says.
11. Promotion and Boost
We may feature or promote any Event in the Services, in emails and notifications, and on social media, at our discretion. "Boost" is one such promotion: we send a selected Event by email and push notification to users we choose. You can't buy a Boost, you don't receive recipients' contact details, and we don't guarantee any result.
12. Business users in the EU and UK
If you're a business user in the EU or UK, the Platform-to-Business Regulation also gives you the following:
- Restrictions. We'll give you our reasons when we restrict or suspend your use of the Services, and at least 30 days' notice with reasons before ending our relationship entirely, except where the law allows otherwise. You can reply to clarify the facts or contest our decision.
- Changes. We'll give you at least 15 days' notice by email of changes to these terms, the Terms of Service, the Privacy Policy or the Community Guidelines as they apply to you, except where the law allows a shorter period. You can end our relationship before a change takes effect.
- Ranking, treatment and data. Terms §26.2 describes how Events are ranked. Our team chooses "Featured" Events and may consider a paid partnership with TopDeck. TopDeck's own Events, Organized Play Program Events, Events we promote (§11) and Events of Organizers on custom terms may be treated differently. You can access your Events' Event Data (§9.2); TopDeck uses data about all Events, including in aggregate, to run the Services and for Publishers' reporting.
- Complaints. Email [email protected].
13. Suspension and termination
13.1 Leaving. You can stop acting as an Organizer at any time. Before you close your Account or disconnect your Payment Processor, refund or deliver everything you've sold for upcoming Events. Closing your Account doesn't cancel a Subscription or remove your API key or webhook endpoints, so remove those first, or ask us (Terms §20).
13.2 Our rights. We may restrict, suspend or end your ability to run Events or accept payments, remove or cancel an Event, or change or discontinue any Organizer feature, at our discretion, including if:
- you breach these terms, the Terms of Service or the Community Guidelines;
- we suspect fraud, a deceptive Event, or a failure to deliver Events or refunds;
- your sales draw excessive chargebacks or Payment Processor complaints;
- a Payment Processor requires it;
- it's needed to protect Players, TopDeck or the Services; or
- the law requires it.
13.3 Notice. Terms §14.5–14.6 cover notice of our decisions and how to tell us you disagree. §12 adds what business users in the EU and UK get.
13.4 What happens next. If we suspend or end your access before an Event, we may cancel it and refund Players under §6.3. Your obligations for past sales (refunds, delivery, chargebacks, taxes), for Event Data, and under §3.5 and §15 continue after termination.
13.5 Your data after termination. When our relationship ends, your Event pages and Event Records stay on the Services, but your access to Staff tools, exports, the API and webhooks for your Events ends. Export what you need before then.
14. Changes to these terms
We may change these terms. We'll give you reasonable notice of material changes before they take effect, but changes required by law or needed to deal with fraud, abuse or a security risk can take effect sooner. Business users in the EU and UK get the notice in §12. A change never applies to a dispute that arose before it takes effect. If you keep acting as an Organizer after a change takes effect, you accept it.
15. Responsibility and liability
15.1 Indemnity. You will defend, indemnify and hold harmless TopDeck and its officers, employees and agents against third-party claims, and related losses, fines, Payment Processor charges and reasonable legal fees, arising from:
- your Events, including injury or damage at your venue;
- your sales, refunds, chargebacks, disputes and taxes;
- prizes;
- your handling of Event Data, including through your Staff, exports, integrations and webhook endpoints;
- your content and your Staff's conduct; and
- your breach of these terms or the law.
We may control the defense, and you'll cooperate with us. This §15.1 doesn't apply to you if you're a consumer in the EU, EEA or UK.
15.2 Disclaimers, liability and disputes. The disclaimers, limitation of liability, dispute-resolution and governing-law terms of the Terms of Service (Terms §§21–22 and 24–26) apply to these terms. IN ADDITION, TO THE EXTENT THE LAW ALLOWS, TOPDECK IS NOT LIABLE FOR ANY LOSS CAUSED BY A PAYMENT PROCESSOR'S DECISIONS ABOUT YOUR ACCOUNT, FUNDS OR PAYOUTS, OR BY AN EVENT THAT CAN'T RUN BECAUSE THE SERVICES ARE UNAVAILABLE.
15.3 Relationship. You and TopDeck are independent. These terms don't create a partnership, joint venture, employment or agency relationship, except for the limited authority in §3.3 to instruct your Payment Processor.
15.4 Contact. Questions about these terms: [email protected]. Privacy matters: [email protected]. Security incidents and vulnerabilities: [email protected]. Legal notices and business-user complaints: [email protected], or by post to Eminence Gaming LLC, 651 N. Broad St., Ste. 201, Middletown, DE 19709, USA.
Publisher / Organized Play Program addendum
A1. Scope. This addendum applies to a Publisher (or its authorized operator) that runs an Organized Play Program on the Services, to its Publisher team, and to anyone who operates a Hub, which gives Publisher-level access for that Hub's game. A separate written agreement between TopDeck and the Publisher controls where it conflicts with this addendum.
A2. Your team. TopDeck sets up your Publisher team, and your team owners manage its members and their access. You're responsible for your team members. Give access only to people who need it, and remove it promptly when someone leaves.
A3. Access to Events of your game. Your team has Admin-level access to every Event of your game on the Services, whoever organizes it, including the full Registration records and Admin tools such as refunds and cancellation, which act on the Organizer's Payment Processor account. You must:
- use that access only to run your Organized Play Program (such as sanctioning, rankings, competitive integrity, judges and Player support) and as A9 allows;
- use refund or cancellation tools on another Organizer's Event only at that Organizer's request or under program rules you've published in advance; and
- not use Event Data from other Organizers' Events for marketing without consent (§9.4).
A4. Hubs. TopDeck builds and configures your program's Hub. You grant TopDeck a non-exclusive, royalty-free license to use the names, logos, trademarks, card images and other materials you provide to run your Hub and program pages and to describe your program on the Services, for the life of the program and a reasonable wind-down. If your Hub uses your own domain, keep it registered and configured as we specify. Referral (ambassador) codes only record who referred whom; TopDeck pays or credits nothing for them, and any reward you offer for referrals is your responsibility.
A5. Store applications and store communities. You can collect applications from stores that want to join your program and decide them yourself; TopDeck takes no part. You're the controller of application data. Use it only to run your program, honor applicants' choices (such as whether you may publish their details), and decide on lawful, non-discriminatory criteria. Approving a store may let it run your game's Events without a Subscription, where your program covers that cost, and lets your team see that store's player community on TopDeck across every game it runs (A9 applies).
A6. Program rules, rankings and conduct. You set your program's rules, including which Events are sanctioned and how ranking points, seasons, circuits and judge certification work. TopDeck computes standings and rankings using the configuration you choose, and you're responsible for checking it. If you exclude a Player from your league standings (a conduct ban), record a factual reason, and do so only for breaches of rules you've published.
A7. Kits. You are the seller and merchant of record for the kits you list. Paid kits are charged and refunded on your own Stripe connected account (§3). The storefront and order confirmation name you as the seller, so give a working contact email for order questions. You set prices, stock and limits, and you're responsible for fulfillment, shipping, returns, refunds, warranties, product safety and labeling, customs, taxes and consumer-law duties, including any right to cancel a distance purchase. Use buyers' shipping addresses only to fulfill and support their orders.
A8. Rewards. You are the issuer of your program's Rewards. TopDeck runs the Rewards ledger but isn't the issuer of Rewards or the seller of items redeemed with them.
- Rewards have no cash value and work as Terms §10 describes. Don't sell them, exchange them for cash, or let them be used anywhere else.
- You set how Rewards are earned and redeemed and what's in your shop, and can change or end those rules. Tell Players before a change that reduces the value of their balances or ends the program, and fulfill orders placed before it.
- Rewards awarded for an Event may be reversed if its results are reopened.
- You're responsible for redemptions (fulfillment, shipping, returns, product safety, taxes), for using redeeming Players' shipping addresses only to fulfill their orders, and for the legality of your Rewards program.
A9. Program data. You are an independent controller of the data you access or receive through the Services to run your program, such as Registration records for Events of your game, store applications and communities, conduct bans, kit and Rewards orders, and rankings. The duties in §9 apply to it, including §9.4 for program emails and broadcasts. You must have your own privacy notice that explains how you use program data. You can opt webhook endpoints in to every Event of your game; the Developer Terms apply, and you're responsible for those endpoints. Use any integration TopDeck builds to send your game's Event Data to your systems only for your program.
A10. Intellectual property and endorsement. Your game and its intellectual property remain yours. TopDeck may say that you run an Organized Play Program on the Services. Beyond that, neither of us may suggest that the other endorses it.
A11. Fees and ending a program. Program fees, and what your program covers, are as agreed in writing between you and TopDeck. If your program ends, your Hub and program pages may close or switch to TopDeck branding; you must fulfill open kit and Rewards orders and handle remaining Rewards balances as A8 and the law require; published Event Records and rankings stay; and your team's access to Events of your game ends.
